Terms of Service

These Terms of Service (“Terms”) govern your use of “mado-kit,” a digital signage–oriented social media integration service provided by bridge LLC (“we,” “us,” or “our”). By using the Service, you agree to these Terms.

Article 1 (Scope)

These Terms apply to all relationships between you and us regarding the provision and use of the Service. Any guidelines, policies, or similar materials we post on the Service form part of these Terms. If any such document conflicts with these Terms, the conflicting document prevails to the extent of the conflict.

Article 2 (Registration)

Those who wish to use the Service shall apply for registration in the manner we specify. When we approve the application, a contract for use is formed and you become a registered user. We may refuse registration, or cancel registration after approval, if the application contains false information, if you have previously breached these Terms, or if we otherwise deem registration inappropriate.

Article 3 (User IDs and Passwords)

You are responsible for appropriately managing your user ID, password, and authentication credentials for the Service and shall not allow third parties to use them, or lend, transfer, change the name of, or sell them. We are not liable for damage arising from insufficient management, third-party use, or unauthorized access, except where caused by our willful misconduct or gross negligence.

Article 4 (Fees and Payment; Stripe)

Fees, billing cycles, plan details, and related matters are as separately determined by us. You shall pay fees by the method we designate. Payment processing may use Stripe, Inc. or another payment processor; you agree to comply with such processor’s terms as applicable. Renewal, cancellation, failed payments, and similar matters follow our conditions and the settings and displays shown in Stripe.

Article 5 (Social Media Integration and External APIs)

The Service may integrate with social platforms via APIs provided by Meta and others (“Meta API,” etc.) and may display information obtained from third-party APIs, including weather data. We are not liable for loss or damage arising from changes, suspension, limitations, delays, inaccuracies, or incompleteness of such external services or APIs, except where caused by our willful misconduct or gross negligence. You are responsible for reviewing and complying with each external provider’s terms and policies and for configuring integrations lawfully.

Article 6 (Prohibited Conduct)

In using the Service, you must not:

We may suspend or interrupt all or part of the Service without prior notice if: (1) we maintain or update systems; (2) force majeure makes provision difficult; (3) computers or communications fail; or (4) we otherwise deem suspension or interruption necessary. We are not liable for damage arising from such suspension or interruption, except where caused by our willful misconduct or gross negligence.

Article 8 (Disclaimer)

The Service is provided “as is.” We disclaim all warranties, express or implied, regarding the Service, including merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. Except for our willful misconduct or gross negligence, we are not liable for damage arising from the Service. Where we are liable, our liability may be capped at the fees you paid us for the month in which the damage occurred. We are not liable for indirect damage, lost profits, or special damages, except in cases of our willful misconduct or gross negligence.

Article 9 (Changes to These Terms)

We may change these Terms when we deem it necessary. The revised Terms take effect when posted on the Service or on the effective date we specify. Continued use after change constitutes your agreement. We will notify you of material changes in an appropriate manner.

Article 10 (Governing Law and Jurisdiction)

These Terms are governed by the laws of Japan. Any dispute arising out of or relating to the Service shall be subject to the exclusive jurisdiction of the courts having jurisdiction over the location of bridge LLC’s principal office, in the first instance.
